OPEN

The decision before the work.

Who this is for

For an owner who needs a company for a defined activity, a treasury, or a governance structure, and wants to understand its operating and maintenance requirements.

What the assessment gives you

An entity shortlist, an ownership and control map, the records required for formation and banking, and a first-year responsibility list.

What is separate

Formation, bank acceptance, and tax treatment are separate. Filing work, registered-agent services, legal advice, accounting, and recurring administration need their own agreed scope.

A 60-minute strategy session is $2,000 by card or $1,750 via BitSettle. Written assessment within 24 hours after the session. Further professional fees are quoted afterward. The amount paid credits professional fees for services retained within 30 days after the session.

See an illustrative example

Illustrative working example

A company with an owner for every obligation.

A solo consultant wants to invoice international customers, receive Bitcoin, and hold part of the revenue as a company treasury. This is a fictional planning example, not a jurisdiction recommendation.

Starting facts

One person owns and manages the business. Customers are in more than one country. The business needs contracts, a receiving wallet, bookkeeping, and an account for ordinary expenses.

What still needs an answer

The intended account provider has not confirmed its requirements. The tax consequences of where the owner lives and works need professional review. The person responsible for annual administration is not yet assigned.

Follow the work and the responsibilities
  1. Client

Describe the activity, customers, owner, management location, expected payments, and required accounts. Identify who will control the company wallet.

  2. Bitcoin Lawyer

Compare entity options, organize the formation requirements, and make a handover list for corporate records and recurring responsibilities.

  3. External providers

The filing provider handles the agreed registration. An independently engaged tax professional confirms the filing work. Banks and payment providers run their own review.

  4. Company owner

Keep contracts and accounts, control signing access, and assign every renewal and reporting task. Check that each separately retained provider has accepted its task.

The next decision. Choose the entity only after the activity, account requirements, professional tax review, and annual workload have been considered together.

Prepare

Prepare the formation and maintenance file Build a personal preparation list

After the initial work

The company needs a named owner for its records, renewals, accounts, filings, and eventual closure. Ongoing administration is quoted separately; it is not included in the session.

Real choices

LLC, corporation, company or governance structure.

The company service covers practical comparisons between Wyoming and New Mexico LLCs, Delaware LLCs and C-Corps, UK limited companies, Estonian OÜs, Hong Kong companies, Singapore Pte Ltds and UAE free-zone companies. Where the facts justify a wider comparison, we assess offshore companies, foundations and DAO structures with the relevant local professionals.

The decision starts with what the entity will do. A solo consulting business, a company seeking outside shareholders, a holding entity and a DAO with shared governance need different records and operating arrangements. We do not select a jurisdiction from a privacy slogan or assume every business paid in Bitcoin has the same regulatory profile.

The work

Five stages, with a record at each one.

  1. Assess the operating facts

We identify the owners, decision makers, activity, countries and payment requirements. Existing companies, tax residence and planned funding belong in the first conversation. The written assessment records the shortlist and unresolved dependencies.

  2. Agree the scope

The proposal separates our professional fee from government charges and outside services. It names the documents, the local provider where applicable, exclusions, renewal responsibilities and what must be confirmed before filing.

  3. Prepare the file

Name checks, ownership instructions, registered-office or agent arrangements and requested identity records are assembled. Sensitive documents move through the agreed secure channel. A low-priced filing never removes a registry’s or provider’s own information requirements.

  4. Coordinate formation

The agreed filer submits the application. We track the difference between submission, queries and acceptance. Registry timing is a dependency, not a promised outcome. Tailored governance or regulated work goes to the appropriately qualified professional.

  5. Hand over and maintain

The handover identifies the company record, ownership and authority documents, application receipts, access owners and next deadlines. Banking, tax and payment tasks stay visible until the relevant institution or professional has completed them.

Documents that make the entity usable.

For a US LLC, the working file can include the accepted Articles of Organization, operating agreement, initial member or manager decisions, registered-agent appointment and EIN application record. For a corporation, substitute the relevant certificate, bylaws or articles, board actions and share records. The final schedule of deliverables follows the selected entity and signed scope.

An EIN is a tax identifier, not a bank account. A certificate of good standing addresses a particular registry status, not every legal or financial question. An apostille authenticates an eligible public document for a particular cross-border use; ask the recipient what it actually requires before ordering one.

Included means written down

The engagement states whether the work covers standard documents, bespoke professional drafting, an EIN application, certified copies or apostilles. Do not assume an optional task is included because it appears on a checklist.

Originals remain yours

Keep the accepted filings and official notices alongside the working copies. Record the source, date and recipient of each document so a future adviser can reconstruct the file.

Banking and year two belong in year one.

We help organize the account-opening file and the payment flow. That may involve formation records, ownership evidence, business activity, anticipated volumes, customer locations and source of funds. The bank or payment provider makes its own decision. Neither a jurisdiction recommendation nor an introduction guarantees acceptance.

Before formation, assign the registered-agent or local-service renewal, state or registry filings, accounts, tax work and changes to ownership or officers. The company must also know who receives official mail. A service that forwards a legal notice does not undertake the response to it.

Closing belongs in the plan too. A dormant company, administrative strike-off and formal liquidation are not interchangeable. Identify the assets, liabilities, accounts and final professional work before treating the entity as finished.

A defined engagement, with the right professionals.

Bitcoin Lawyer coordinates the structure and the work around it. We identify where a licensed lawyer, accountant, enrolled agent, registered corporate-services provider or other specialist must act. You receive the relevant scope and provider arrangements before authorizing that work.

The strategy session is the starting point: $2,000 by card or $1,750 via BitSettle. Professional fees for formation and subsequent services are quoted after the session. Government charges, recurring provider costs and specialist fees are identified separately in the proposal.

Before you decide

Common questions.

Can a non-US resident consider a US LLC?

Yes, foreign ownership is possible, but the entity, activity, tax treatment and financial-provider requirements must fit the facts. Residence outside the US does not remove reporting obligations.

Do you guarantee a bank account?

No. We can prepare the file and coordinate an introduction where available. The institution applies its own acceptance criteria and may request more information or decline.

Will you prepare my tax returns?

That is separate professional work. We identify the reporting questions and the appropriate professional; the proposal states what is included and who is responsible.

Can I bring an existing company?

Yes. Bring its filings, ownership records, contracts, account arrangements and known deadlines. The answer may be to repair the existing file rather than create another entity.

The decision

Six questions for an entity.

A filing certificate answers very little about whether a structure fits your life. Start here.

  1. What must it do?

Hold a treasury, invoice customers, employ people, own intellectual property, or invest. Those are different jobs. Describe the activity and the people behind it before choosing a jurisdiction.

  2. Who owns and controls it?

Map the owners, directors, signers, and the records each must supply. A company does not make the person behind it disappear.

  3. Where does the work happen?

Your residence, the place of management, and the location of customers can matter as much as the address on the certificate. We identify the questions a qualified tax professional needs to answer.

  4. What will it cost to keep?

Formation, registered office, annual filings, accounting, and closing costs belong in the same budget. We separate official charges from our professional fees.

  5. How will it receive money?

A company registration is not a banking approval. Work through payment providers, required records, and wallet controls before relying on a particular account.

  6. How does it end?

A structure should have an exit as well as an opening. Establish who keeps the records, who handles final filings, and how assets are distributed when the company closes.

The engagement

A workable structure. A written scope.

What we coordinate

  • A comparison of suitable entity structures against your actual use case.
  • The information and document sequence needed by the chosen filing provider.
  • Introductions to the licensed lawyer and tax professional your situation needs.
  • A responsibility list for formation, reporting, renewals, and ongoing records.

What is separate

  • Legal opinions, tax advice, and tax return preparation by the professionals you retain.
  • Government and registry charges, accounting, and third-party services.
  • Banking approval, payment-provider onboarding, and their due diligence.
  • Custody of your Bitcoin. Control of your wallet stays with you.

Fees and payments

Know the payee. Know the obligation.

Our professional fee is quoted in writing after the session. The proposal separates our work, official charges, recurring obligations, and anything paid directly to another provider.

  1. The strategy session

Paid to Bitcoin Lawyer LLC. No part of the session fee is a government contribution or registry fee.

  2. Formation and ongoing work

Priced for the agreed scope. We identify what is included, what is excluded, and which recurring responsibilities remain yours.

  3. Government and provider charges

Confirmed for the chosen route before payment. The proposal identifies each payee and who supplies the receipt. We do not combine unlike charges into one unexplained total.

Plain talk

A certificate is only the beginning.

This is the wrong starting point if you need a company to make an obligation disappear.

  • An entity does not, by itself, settle your personal tax position.
  • A bank or provider can decline an application even after the company exists.
  • A filing completed quickly can still create years of maintenance.
  • If you already know exactly what to file and can manage the work yourself, a direct filing may cost less. Our fee pays for assessment and coordination.

Start with the use case

Bring the business. Then choose the structure.

Tell us what the company must do, where you live, and how it will get paid. Leave with a written assessment of the sequence and the people it needs.
