Company / The operating file
The certificate needs a working file.
Formation should leave you able to explain the company, operate it and maintain it. The handover is a set of records and responsibilities. A certificate alone does not tell a bank who may sign, an accountant what happened, or a successor where to find the next deadline.

Before anything goes to a registry.
We begin with the proposed activity, owners and managers, the countries involved and the intended payment flow. Name choices, addresses and spelling must agree across the instructions. If one person owns through another entity, include the ownership chain rather than only the last company in it.
The engagement identifies the filing provider and which work it performs. Standard formation documents, tailored governance, tax advice, regulatory licensing and banking applications are distinct tasks. A standard operating agreement is not a substitute for advice on vesting, investor rights, a dispute between owners or an unusual asset transfer.
- Proposed names and a plain description of the actual business.
- Owners, percentages, managers or directors, and signing authority.
- Residence and operating locations, with an explanation of cross-border activity.
- Identification, address and ownership evidence requested through the agreed secure channel.
- The records needed for any existing company or corporate owner.
What belongs in the formation handover.

| Record | What it establishes | What it does not establish |
|---|---|---|
| Accepted registry filing and certificate | The filing, entity name, number and registration date. | Tax treatment, banking approval or permission for every proposed activity. |
| LLC operating agreement and member resolutions | The agreed ownership, management and initial actions, within the document’s scope. | A bespoke solution to every owner, investment or succession issue. |
| Corporate articles/bylaws, board records and share register | The corporate rules, appointments and recorded issuances. | That every later issuance or financing has been authorized. |
| Registered agent, office or secretary appointment | Who performs the stated local corporate service. | General mail forwarding, a staffed business office or legal representation. |
| EIN application record and resulting IRS notice | The application history and assigned US tax identifier when issued. | A tax election, filed return or approved financial account. |
| Good standing or apostille, where ordered | The specific certification supplied for a named use. | A guarantee that every foreign counterparty will accept the document. |
Keep the EIN and tax work separate.
The IRS issues EINs without a government application fee. An intermediary may charge for preparation or coordination; that should be named as a service charge. A non-US applicant’s appropriate application method depends on the responsible party and the business location. Confirm the current IRS method before sending an SS-4 or promising a delivery date.
The IRS treats LLCs differently according to ownership and elections. A foreign-owned US disregarded entity can also have Form 5472 reporting obligations for reportable transactions, with a pro forma Form 1120. Do not replace that conditional rule with either “every LLC files everything” or “no US customers means no filing.” Have the responsible tax professional determine the obligations and calendar. Consult a qualified tax advisor regarding your specific situation.
Order additional work by its purpose.
ITIN and individual tax work
An ITIN identifies an individual for US federal tax purposes. It is different from the company’s EIN and does not provide immigration status. Where needed, a qualified tax professional or authorized acceptance agent handles the separate application. The written scope identifies that provider and the reason for applying.
Certified records and apostilles
Ask the recipient which document, issuing authority, language and certification it will accept. A good-standing certificate, certified formation record and apostille are different deliverables. Order the combination required for the named transaction, with any translation separately specified.
Offshore renewals and local services
Record the agent, office, secretary or other required local service, its renewal date and the documents it needs from you. If a nominee is proposed, document its lawful role, authority and reporting responsibilities with the appropriate professional. A payment receipt alone does not show that every statutory filing was completed.
Make the annual calendar specific.
These examples show why one generic renewal reminder is insufficient. Registry obligations, tax returns and a private provider’s renewal invoice can fall on different dates.

| Entity | Recurring item to calendar | Owner of the task |
|---|---|---|
| Wyoming entity | Annual report based on its anniversary month; calculate the applicable state licence tax. | Named filer, with a retained submission receipt. |
| Delaware domestic corporation | Prior-year annual report and franchise tax due by March 1. | Corporate officer/adviser responsible for the calculation and submission. |
| UK limited company | Annual accounts and confirmation statement are separate; the confirmation statement is at least yearly and includes current identity-verification requirements. | Directors, accountant and any authorized filing provider. |
| Hong Kong private company | Annual return generally within 42 days of the incorporation anniversary, after the incorporation year; review any applicable exemption. | Company officers and secretary. Keep accounts/tax work separately assigned. |

Prepare a banking file that explains the business.
Bring the formation record, ownership chart, identity and address evidence, website or business description, expected counterparties and transaction pattern. If Bitcoin is part of the business, describe whether you earn it, hold it, receive it for customers or provide a regulated service. Those are not equivalent activities.
A banking introduction creates an application opportunity. The institution decides whether to accept it. Keep a second workable payment route and an honest account of which functions it covers. We do not sell access to a bank, promise an approval rate or operate your account for you.
Close deliberately.
A company with no sales may still have filings, a registered-agent contract, assets, liabilities or tax obligations. Before ending it, reconcile the records and identify outstanding contracts, employee or creditor matters, account balances and wallet assets.
Administrative strike-off and a formal liquidation are different processes. The appropriate route depends on the entity and its circumstances. Coordinate the local professional, final tax work, accounts, asset distribution and evidence of closure. Retain the records that remain necessary after the registry entry changes. Do not stop paying the agent and call that a completed dissolution.
Before you decide
Common questions.
Is bookkeeping included in formation?
Only if the written engagement expressly includes it. Formation, monthly bookkeeping, annual accounts and tax filing are separately defined work.
Does a registered agent provide a normal mailing address?
The agent’s statutory role and the provider’s additional services must be checked separately. Do not give the address to customers or a bank as an operating office unless the arrangement supports that use.
Can I use the company before every account is ready?
Only after the activity, authorization and operational dependencies are understood. Record what has actually completed and what remains pending; do not describe a submitted application as an approval.
